1. Acceptance and modification of the terms of service
This Agreement(hereinafter referred to as 'the Agreement') is hereby made and concluded by and between SeeYA Member (hereinafter referred to as 'member') and Hainan quick attack network technology Co., Ltd (hereinafter referred to as 'SeeYA”) on member’s use of the automatic renewal entrustment service (hereinafter referred to as 'the service'). It describes the rights and obligations between SeeYA and members on the use and related aspects of the service of SeeYA Membership.
This Agreement constitutes a prerequisite for members to use the service, unless they accept the terms of this Agreement, otherwise they are not entitled to use the service. Member’s choice of using the service will be deemed to be subject to the terms of this Agreement.
2. Service Description
1) Under the demand of members for automatic renewal service, SeeYA provides this service to avoid the losses caused by members’ failure to renewal due to their negligence or other reasons. Members irrevocably authorize SeeYA to deduct the fee of the next charge period (1/6/12 months) from the balance of their accounts,when membership validity is about to expire. The premise to achieve this service is that members have bound their SeeYA accounts to the accounts above-mentioned, and SeeYA must be able to deduct fees successfully from these accounts.
2) Specifically, automatic renewal refers to that, based on the premise of the first paragraph of this Article, SeeYA deduct the monthly fee of the next charge period from the above accounts. Members must ensure that SeeYA can deduct the fee successfully from the above accounts, and members themselves shall be responsible for the renewal failure due to the above accounts have insufficient balance. If automatic renewal service cannot be performed successfully due to the reasons (including but not limited to insufficient balance) mentioned above, SeeYA preserve the right to suspend providing value-added service for the user without any further notice.
3) Members shall be restrained by the the terms of 'Member Service Agreement' while enjoying the service, and their acts to use the service shall be deemed to agree the terms of the service and various publicity SeeYA issued.
4) Members can only use the service that SeeYA provides in SeeYA platform. Any acts that separate this service from SeeYA platform by malicious crack and other illegal means are not agreed in this Agreement. All legal consequences arising therefrom shall be assumed by users whose acts are illegal, and SeeYA will investigate their legal liability according to the law.
5) Users also can cancel automatic renewal service subscription.
6) For iOS users, SeeYA provide value-added service automatic renewal by month for the users. Users also can cancel automatic renewal service subscription.
3. The Rights and Obligations of Both Parties
1) SeeYA is responsible for providing query methods about the automatic renewal to members
2) SeeYA should deduct the subscription service fee of the next charge period at the same day from members’ above-mentioned accounts, and should record the money in the member payment records, and extend the membership validity accordingly.
3) Where mistakes occurred in the process of deduction, SeeYA and members should act in close coordination to investigate the cause and bear the losses caused by their own mistakes respectively. If the losses were caused by the unequal mistakes of the two parties, the parties shall bear the corresponding responsibility according to the degree of mistakes. If the two parties are jointly liable for the losses, they should share the responsibility.
4) SeeYA is entitled to change or modify the relevant service contents, rules and terms of this Agreement in accordance with its business development or technical upgrading. Before making the changes or modifications above-mentioned, SeeYA will publicize the changes on the relevant pages, but has no obligation to notify one by one. Members can cancel the service that has been obtained and cease to use it if they do not agree the modification of this Agreement, and they shall be deemed to have accepted all modifications to this Agreement if they continue to use the service provided by SeeYA.
5) The automatic renewal subscription service is opened by default when iOS users obtain the ‘SeeYA Golden’. Member users have the right to independently choose whether to cancel the service. If they need to cancel the service, the specific operation is as follows: open the iPhone “Settings” manually -> enter “iTunes Store and App Store”-> click “Apple ID”, select “view Apple ID”, enter the “Account Settings” page, click ”Subscribe” to cancel the subscription of renewal service.
Members who haven’t cancel the subscription at least 24 hours before the end of the subscription period will be deemed to have agreed that SeeYA can deduct fees aperiodically in accordance with certain rules. Once the deduction is done, SeeYA will open the subscription service of next charge period for its members.
6) Should there be any adjustment in the monthly service price when/before the automatic renewal, the current price shall be served as the standard price.
7) SeeYA will not charge the members who open the service, but has the right to decide whether to charge the value-added service or adjust the period and fees of automatic renewal in accordance with business needs or market changes and other reasons, and SeeYA will publicize its charges or adjustment in the relevant pages to members.
4. Period of Validity and Termination of the Agreement
1) This Agreement shall enter into force upon the acceptance or use of the service by members, and will terminate until members terminate the service or cancel their membership.
2) Members have the right to terminate the service at any time in the membership account, and SeeYA will stop providing the service to the members after they terminate the service.
3) Members’ directive to entrust SeeYA to deduct the fee automatically is still valid before the termination of the service, but the fee that was deducted based on the directive will not be refunded by SeeYA and members should bear it by themselves.
5. Liability for Breach of the Agreement
Where a party breach the Agreement, the other party has the right to obtain the compensation through the dispute resolution method stipulated by the two parties.
